About the role

 

The Assistant Company Secretary – Subsidiaries works with the Company Secretary to support and maintain a robust governance and company secretariat framework across EnergyAustralia’s group entities, joint ventures, shareholders, and management.

 

This is a max term contract covering parental leave August 2026 to mid October 2027 either full time hours or part time 4 days per week. Our Docklands-based hybrid working model includes office days on Tuesday and Thursday, with additional days required for scheduled Board meetings.

 

Key responsibilities

 

  • Coordinating Subsidiary and Joint Venture Board and Committee activities and meetings.
  • Preparation of Board and Committee papers, minutes and circulating resolutions.
  • Maintaining corporate governance records and documents, ensuring consistency and best practice.
  • Ensuring  compliance with regulatory, ASIC, licensing, and industry requirements, and communicate governance changes as needed.
  • Managing subsidiary approvals, reporting, stakeholder relationships, and director inductions, including liaison with external providers.

 

About you

 

  • Tertiary qualification, with a Diploma of Corporate Governance or equivalent company secretarial qualification.
  • Proven company secretarial experience within a mid to large organisation, ideally within an ASX‑listed environment.
  • Strong organisational capability with a demonstrated ability to manage competing priorities and meet tight deadlines.
  • Well‑developed written and verbal communication skills, with the ability to engage confidently at senior levels.
  • Sound understanding of regulatory obligations and governance requirements, with the ability to interpret and apply them effectively.
  • Demonstrated ability to influence stakeholders and collaborate effectively within a small team and across a large organisation.
  • Familiarity with online Board Portals (eg Diligent) and Corporate Secretarial Portals (eg CAS360) and any other web-based company secretarial and corporate records management solutions
